TERMS AND CONDITIONS

These Terms and Conditions constitute a legally binding agreement between you and Nads.Ai Corp, a Florida corporation.

By accessing, purchasing, or using any services provided by Nads.Ai Corp, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Services

Nads.Ai Corp provides CRM builds, funnel builds, AI chatbots, AI voice systems, SMS automation, email automation, advertising management, sales pipeline systems, hosting, and ongoing monthly management services.

All services are subject to these Terms and any separately executed Service Agreement.

Nads.Ai Corp does not guarantee specific business results, revenue, lead volume, or financial outcomes unless expressly stated in a signed written Service Agreement.

Any promotional performance statements are governed exclusively by the executed Service Agreement and do not modify these Terms.

2. Payments

All setup fees are non refundable.

Monthly service fees are automatically billed in advance.

Clients may cancel services at any time; however, cancellation does not entitle the Client to refunds of previously paid fees.

Failure to pay may result in immediate suspension of access.

Accounts remain paused until all outstanding balances are satisfied.

3. Termination and Data Access

Upon cancellation or termination:

• Access to systems will be paused.
• Client may request export of contact data.
• Client has thirty days from termination date to migrate contact data.
• After thirty days, Nads.Ai Corp may permanently delete hosted systems and stored data.

Restoration of access requires full payment of any outstanding balances.

4. Intellectual Property

Client retains ownership of final customized deliverables specific to their business content.

Nads.Ai Corp retains all right, title, and interest in:

• Templates
• Automation frameworks
• AI prompt structures
• Backend architecture
• Workflow logic
• Strategic systems
• Proprietary methods
• Technical structures

Client receives a limited, non transferable license to use proprietary systems solely within their own business.

Client may not resell, replicate, sublicense, reverse engineer, distribute, or commercially exploit proprietary systems.

5. SMS and Communication Compliance

By providing a mobile number and opting in, you consent to receive SMS communications from Nads.Ai Corp including service updates, marketing, and notifications.

Message frequency varies. Message and data rates may apply.

Nads.Ai Corp does not sell, rent, or trade personal data to third parties for monetary or commercial gain.

You may opt out at any time by replying STOP to +1 754 341 2244.

Carriers are not liable for delayed or undelivered messages.

6. Client Compliance Responsibility

Client is solely responsible for compliance with TCPA, CAN SPAM, FTC guidelines, and all applicable marketing laws.

Nads.Ai Corp does not monitor Client communications.

Client agrees to defend, indemnify, and hold harmless Nads.Ai Corp from any claims arising from Client marketing or misuse of systems.

7. AI Disclaimer

AI systems, AI voice, and chatbot outputs may contain inaccuracies or incomplete information.

Client is responsible for reviewing and approving all AI generated outputs prior to reliance or distribution.

Nads.Ai Corp provides automation tools and does not provide legal, financial, medical, or professional advice.

8. Disclaimer of Warranties

All services are provided as is.

Nads.Ai Corp disclaims all warranties including merchantability, fitness for a particular purpose, and non infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Nads.Ai Corp shall not be liable for indirect, incidental, special, consequential, or punitive damages.

Total aggregate liability shall not exceed $10,000.

10. Indemnification

Client agrees to defend, indemnify, and hold harmless Nads.Ai Corp, its officers, directors, employees, agents, and subcontractors from and against any claims, damages, losses, liabilities, and expenses arising out of:

• Client’s breach of these Terms
• Client misuse of services
• Client violation of law
• Client communications or marketing

11. Force Majeure

Nads.Ai Corp shall not be liable for failure or delay resulting from events beyond reasonable control, including but not limited to platform outages, carrier blocking, government action, regulatory changes, hosting failures, or acts of God.

12. Subcontractors

Nads.Ai Corp may utilize subcontractors, white label providers, and third party technology partners to deliver Services. Such use does not relieve Client obligations under these Terms.

13. Arbitration and Class Action Waiver

Any dispute arising from these Terms shall be resolved through binding arbitration in the State of Florida.

You waive the right to participate in any class action, collective action, or representative proceeding.

You waive the right to a jury trial.

Arbitration shall be conducted individually and not consolidated with other claims.

14. Governing Law

These Terms are governed by the laws of the State of Florida.

15. Severability

If any provision is found unenforceable, remaining provisions remain in full effect.

16. Entire Agreement

These Terms and any executed Service Agreement constitute the entire agreement.
